The Contract Manager will be a member of the International Legal Team and will be required to support on a variety of legal work and operations for the function. The Team is based in the International business HQ in Marlow, Buckinghamshire, with an expectation of 2-3 days per week in the office and working virtually for the remainder of time.
A key responsibility of the role will be supporting the Team and International business on drafting and negotiating a broad range of contracts supporting business functions and activities of a pharmaceutical business as well as undertaking tasks in a contract management system. The Contract Manager will work closely with other Team members in the International Legal Team as well as legal colleagues in the US.
The Contract Manager will also be required to partner and collaborate with business stakeholders concerning certain business projects and the operation of contract management process (to encourage and foster business ownership of certain aspect of the contracting process).
The ideal candidate would have a strong foundation and experience in both of commercial contracts in the pharmaceutical industry, contract law and standard terms (the role will involve drafting, evaluation, negotiation and execution a variety of template and non-template contracts) and operation of a contract management system.
Major Activities and Responsibilities
The Contract Manager will be expected to:
· serve as one of the points of contact within the International Legal Team for contracting requirements
· assist with drafting and negotiation of a broad variety of agreements, including Confidentiality Agreements, Master Service Agreements, Statement(s) of Work, Investigator Initiated Study Agreements and contracts with a variety of third-party vendors and consultants (including Healthcare Professionals, Patient Organisations), intra-company arrangements, data privacy related notices and agreements
· contribute to creation and control of International Legal contract templates
· assist with development and implementation of contract protocols and SOPs
· undertake the processing of international contract requests using an electronic contract management system: maintain oversight the practical use of the system by different colleagues and locations and flag potential contracting issues and risks
· establish and maintain relationships with Amicus Affiliate colleagues and work with local counsel in various jurisdictions on specific projects
· provide support on ad hoc projects for the Head of Legal – International and Senior Legal Counsel as they arise during the general growth and development of the business
· From time to time, support any necessary changes to policies, procedures and contracts because of new or revised legislation and work with the Team on training colleagues
· Identify potential efficiencies in ways of working and current operations for a growing legal function
Reporting Line
The Contract Manager will report to the Head of Legal – International
Educational Requirements
· Paralegal certification/legal executive qualifications; or
· Law degree/ other degree with Postgraduate Diploma in Law
· Completion of LPC (Legal Practice Course) is an advantage
· Fluency in another European language (German, Spanish or French)
Professional Work Experience Requirements
· Prior experience with commercial contract drafting and negotiation in the UK
· Experience of contracts drafting and negotiation across different countries would be an advantage
· Prior experience within in-house Legal Department in the bio-pharmaceutical industry would be an advantage
· Corporate or company secretarial knowledge, in any jurisdiction, would be an advantage
Skills and Qualifications
· Excellent written and verbal communication skills
· Proven experience in contract drafting and negotiation
· High level of IT skills (e.g., MS Office (including co-pilot) and contract management systems)
· Self-starter with the ability to work autonomously and take initiative, including improvements and efficiencies in processes
· Agility and ability to handle a high volume of assignments and manage shifting priorities to meet deadlines in a fast paced and dynamic environment to prioritise business needs
· Sound legal and business judgment
· Accuracy and attention to detail and focus on quality work product
· Demonstrated experience handling sensitive, confidential information
· Excellent problem solving and decision-making skills
· Ability to identify legal risks or issues, explain them and escalate to business colleagues, as appropriate
· Excellent interpersonal skills, commitment to client service, and the ability to build relationships with stakeholders, colleagues and business team members across an organisation as well as with outside vendors and consultants
· Ability to deal confidently with internal and external customers at all organisational levels
